Payzone

Effective September 8, 2026

Terms of service

These terms govern use of the Payzone payroll platform and this website. They are a contract between Payzone [legal entity name — fill in] ("Payzone", "we") and the accounting firm or company that opens an account ("the Firm", "you"). By creating an account or clicking to accept, you agree to them on behalf of the Firm, and you confirm you have authority to do so. Electronic acceptance is binding under the Electronic Commerce Act of 2000 (Republic Act No. 8792).

Who you are contracting with

Payzone [legal entity name — fill in], with business address at [Registered business address, City, Philippines — fill in]. Email: raymund.gss@gmail.com. These disclosures are made in accordance with the Internet Transactions Act of 2023 (Republic Act No. 11967).

Definitions

  • "Platform" means the Payzone web application at https://payroll.raymundcuizon.com, its application programming interface, and this website.
  • "Firm" means the subscriber: an accounting or payroll services firm, or a company running its own payroll.
  • "Client Company" means a legal entity whose payroll the Firm runs on the Platform.
  • "Users" means the Firm’s staff, Client HR seats the Firm creates at a Client Company, and employees given portal access.
  • "Client Data" means all data Users enter or the Platform generates for the Firm and its Client Companies, including employee personal data and payroll results.
  • "Plan" means the pricing the Firm is on: a monthly base fee, a per-client charge by headcount band, any volume discount, and any limits, as shown on the pricing page or agreed in writing.

Accounts and access

  • Accounts are created with a one-time temporary password that must be changed at first sign-in. You are responsible for keeping credentials confidential and for all activity under your Users’ accounts.
  • You decide which Users have which roles, including who may prepare, check, approve, finalize and release payroll. The Platform enforces that the same person cannot hold two of those steps on one run, and you agree not to circumvent that.
  • A Client HR seat is confined to one Client Company. You are responsible for whom you seat and for revoking seats when people leave.
  • You must tell us promptly at the contact below if you suspect unauthorized access.

Plans, fees and payment

  • Fees are in Philippine pesos, exclusive of value-added tax and any other tax, which will be added where applicable. We issue an official receipt or invoice for every payment.
  • The Firm is billed monthly, in arrears, for the month just ended: the Plan’s base fee plus one charge per Client Company that had a finalized regular payroll run in that month, priced by the band its paid employees fall in. A Client Company with no finalized run in a month is not charged for that month.
  • "Employees paid" means the distinct employees with a payslip on a finalized regular run whose payroll period falls in the month. Voided runs do not count.
  • Invoices are issued at the start of the following month and are due fifteen (15) days after issue. Figures on an issued invoice are final even if the Plan changes afterwards.
  • We may change prices, bands or limits with at least thirty (30) days’ written notice. The new pricing applies from the first full month after the notice period.
  • If an invoice is not paid when due, we may suspend access after a further fifteen (15) days until it is paid. Client Data is retained during suspension.
  • Fees are non-refundable except where these terms or Philippine law say otherwise.
  • The Free plan covers one Client Company with up to ten employees at no charge, with no time limit. Adding a second Client Company or an eleventh employee requires the Firm plan. The Free plan may be changed or withdrawn on thirty (30) days’ notice.

Acceptable use

You agree not to:

  • Use the Platform for anyone other than the Firm and its Client Companies, or resell access.
  • Enter data you have no right to process, or use the Platform to process data of people who are not employees or contractors of a Client Company.
  • Probe, scan, overload, or attempt to bypass the security or rate limits of the Platform, or access another tenant’s data.
  • Reverse engineer the Platform or copy its computation rules for a competing product.
  • Use the Platform in violation of the Labor Code, tax law, or any other Philippine law.

Client Data and data processing terms

This section is the written agreement between controller and processor that Section 21 of the Data Privacy Act and Section 44 of its Implementing Rules require.

  • You and your Client Companies are the personal information controllers of Client Data. We are the personal information processor.
  • We process Client Data only to provide the Platform and only on your documented instructions, which include your Users’ actions in the Platform. We will not process it for any other purpose.
  • We keep Client Data confidential and require the same of our personnel and sub-processors.
  • We implement the security measures described in our Privacy notice, consistent with Section 20 of the Act and NPC Circular No. 2023-06.
  • We engage only the sub-processors listed in the Privacy notice, each under a written contract, and will inform you before adding one. You may object on reasonable data-protection grounds.
  • We will notify you of a personal data breach affecting Client Data without undue delay and within seventy-two (72) hours of discovery, and give you the information you need to notify the National Privacy Commission and affected individuals.
  • We will assist you, at your reasonable request, in responding to data-subject requests and in privacy impact assessments concerning the Platform.
  • On termination you may export Client Data for thirty (30) days. We delete it ninety (90) days after termination, sooner if you ask, unless law requires us to keep it.
  • You warrant that you have the legal basis and, where required, the consent to enter Client Data, and that you have informed employees of the processing as Section 16 of the Act requires.

Payroll accuracy and compliance are the Firm’s responsibility

The Platform computes payroll from the data your Users enter and from statutory tables we maintain. It is a tool used by professionals, and the professional judgment remains yours:

  • You are responsible for the accuracy of rates, attendance, allowances, loans, and every override your Users enter, and for reviewing each run before it is approved and finalized.
  • You are responsible for filing and paying contributions and taxes to the SSS, PhilHealth, Pag-IBIG Fund and the Bureau of Internal Revenue, and for the correctness of what you file. The Platform prepares figures and files; it does not submit them.
  • We update statutory tables and forms with reasonable diligence when the agencies publish changes, but we do not guarantee that a table is current on any given day. Effective-dated tables mean a run uses the table in force on its period date.
  • Nothing on the Platform or this website is legal, tax or accounting advice.

Availability, support and changes

  • We aim for the Platform to be available at all times except for planned maintenance, which we will announce in advance where practicable and schedule outside Philippine business hours.
  • Support is provided by email at the contact below during Philippine business hours. Response targets depend on your Plan.
  • We may improve, change or discontinue features. We will give thirty (30) days’ notice before removing a feature that materially affects payroll processing.

Intellectual property

The Platform, its software, design, computation rules, documentation and trademarks belong to Payzone [legal entity name — fill in] or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Platform for the term of your subscription. Client Data belongs to you and your Client Companies. If you send us suggestions, we may use them without obligation.

Confidentiality

Each party will keep the other’s non-public information confidential and use it only for the purposes of these terms, for the term of the subscription and five (5) years after. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law, in which case the disclosing party will give notice where allowed.

Warranties and disclaimers

We warrant that the Platform will perform materially as described on this website and that we will provide it with reasonable skill and care. Except for that, and to the extent permitted by Philippine law, the Platform is provided "as is" and we disclaim all other warranties, including fitness for a particular purpose and uninterrupted or error-free operation. Nothing in these terms limits rights that the Consumer Act of the Philippines or the Internet Transactions Act grant that cannot be waived.

Limitation of liability

  • Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue or goodwill, arising from these terms.
  • Our total liability for all claims in any twelve (12) month period is limited to the fees you paid us for the Platform in that period.
  • These limits do not apply to a party’s fraud, gross negligence or willful misconduct, to breach of the data processing terms above, or to any liability that cannot be limited under Philippine law.

Indemnity

You will defend and indemnify us against third-party claims, including claims by employees of Client Companies and by government agencies, arising from Client Data you entered, from payroll decisions or filings you made, or from your breach of these terms. We will defend and indemnify you against third-party claims that the Platform, used as permitted, infringes a Philippine intellectual property right.

Term, suspension and termination

  • These terms apply from account creation until the account is closed.
  • You may cancel at any time by email. Cancellation takes effect at the end of the current month, and that month is invoiced as usual.
  • We may suspend access for non-payment after the grace period, for a security threat, or for a material breach of acceptable use, and will tell you why.
  • Either party may terminate for a material breach not cured within thirty (30) days of written notice.
  • On termination the data export and deletion terms above apply, and any unpaid fees for the elapsed term become due.

Changes to these terms

We may update these terms. We will post the new version here with a new effective date and email the Firm’s administrators at least thirty (30) days before a material change takes effect. Continued use after that date is acceptance. If you do not agree, you may cancel before the change takes effect.

Governing law and disputes

  • These terms are governed by the laws of the Republic of the Philippines.
  • The parties will first try in good faith to resolve any dispute by discussion between their authorized representatives within thirty (30) days of written notice.
  • A dispute not resolved that way will be brought exclusively before the proper courts of [City — fill in], Philippines, to the exclusion of all other venues, without prejudice to the online dispute resolution mechanism the Department of Trade and Industry provides under the Internet Transactions Act where it applies.
  • If any provision is held invalid, the rest remain in force.

General

  • These terms, the Privacy notice, and any written order form are the entire agreement between the parties and replace prior discussions.
  • Neither party may assign these terms without the other’s consent, except to a successor of its business.
  • Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations.
  • Notices to us go to the email below. Notices to you go to the Firm’s administrator email on the account.
